Terms of Service
These terms govern your use of the Credentric platform. Please read them carefully before using our services.

By accessing or using the Credentric platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
Credentric provides an AI-native operating system for private credit lifecycle management, including covenant monitoring, portfolio analytics, document intelligence, workflow automation, and agentic financial operations. The Service is designed for institutional use by private credit funds, banks, asset-based lenders, and other financial institutions.
Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms. We reserve the right to modify pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to violate any applicable law or regulation; (b) upload malicious code or attempt to compromise system security; (c) share login credentials or allow unauthorized access; (d) use the Service to process data you do not have rights to process; (e) reverse engineer or attempt to extract source code; (f) resell or redistribute the Service without authorization.
You retain all ownership rights to the data you upload to the Service ("Customer Data"). You grant Credentric a limited license to process Customer Data solely to provide the Service. We may use anonymized, aggregated data to improve our AI models and services. You are responsible for ensuring you have all necessary rights to upload and process Customer Data.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated analysis and recommendations are provided for informational purposes only and should not be relied upon as the sole basis for financial decisions. You are responsible for verifying all outputs.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREDENTRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Credentric and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any Customer Data you upload to the Service.
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration administered by JAMS in San Francisco, California. You waive any right to participate in class action lawsuits or class-wide arbitration.
Either party may terminate the subscription with 30 days written notice. We may suspend or terminate your access immediately if you violate these Terms or fail to pay fees when due.
Upon termination: (a) your right to access the Service will cease immediately; (b) you may export your Customer Data within 30 days; (c) we will delete your Customer Data within 90 days unless legally required to retain it; (d) provisions that by their nature should survive termination will survive.
We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
